1. Introduction

Welcome to JengaMsanii, a monetization platform for creators.
By accessing or using the website, mobile app, or any related services (“Platform”), you agree to be bound by these Terms of Service and any policies referenced herein.

These Terms constitute a legally binding agreement between SokoNest Trading Platform Limited (“Company,” “we,” “us,” “our”) and you (“User,” “Creator,” “Subscriber,” or “Fan”).

If you do not agree with these Terms, do not use the Platform.

 

2. Definitions

  • Creator – A user who publishes content and earns through tips, subscriptions, or digital product sales.

  • Subscriber/Fan – A user who follows or pays creators.

  • Content – Any material uploaded, posted, or shared on the Platform.

  • Services – All features, tools, and functionalities provided through JengaMsanii.

  • Personal Data – Information identifying an individual, as defined in the Kenyan Data Protection Act, 2019.

 

3. Eligibility

To use JengaMsanii, you must:

  • Be 18 years or older

  • Have legal capacity to enter into agreements

  • Provide accurate registration information

  • Comply with these Terms and all applicable laws

We may suspend or terminate accounts that violate eligibility requirements.

 

4. Account Registration

When creating an account, you must provide accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your login credentials

  • All activities performed through your account

  • Notifying us immediately of unauthorized access

We reserve the right to reject, suspend, or close accounts at our discretion.

 

5. Creator Responsibilities

Creators must:

  • Upload only content they own or have rights to share

  • Comply with copyright laws and intellectual property rights

  • Provide truthful identity information when required (KYC)

  • Deliver promised content to subscribers

  • Maintain respectful behavior toward users and the platform

Creators agree not to use JengaMsanii for:

  • Illegal content

  • Pornography, explicit sexual content, or nudity intended for arousal

  • Hate speech, abuse, threats, or harassment

  • Fraud, scams, impersonation, or misleading information

  • Promoting extremist or violent activities

Violation may result in account termination, content removal, or legal action.

 

6. Content Ownership & Licensing

6.1 Creator Ownership

Creators retain full ownership of the content they upload.

6.2 License to JengaMsanii

By uploading content, creators grant the Company a non-exclusive, worldwide, royalty-free license to:

  • Display, host, distribute, and promote the content on the Platform

  • Use the content for marketing or platform promotion (with attribution)

This license is necessary solely for operating the Platform.

6.3 Copyright Violations

We respond promptly to copyright complaints and may remove content or suspend accounts.

 

7. Prohibited Content & Activities

Creators and users may NOT use the platform for:

7.1 Prohibited Content

  • Pornography or sexually explicit content

  • Graphic violence

  • Hate speech, discrimination, harassment

  • Terrorism, extremism, or radicalization

  • Illicit drugs or criminal activity

  • Defamation or false information

  • Copyright-infringing materials

7.2 Prohibited Activities

  • Attempting to bypass payment systems

  • Posting private information of others

  • Manipulating payments or engagement

  • Uploading malware or harmful code

  • Circumventing platform restrictions

Violations will lead to suspension or permanent ban.

 

8. Payments, Subscriptions & Earnings

8.1 Payments to Creators

Creators may earn through:

  • Tips

  • Monthly subscriptions

  • Pay-per-post unlocks

  • Digital product sales (Phase 2)

Earnings are credited to the user's wallet and can be withdrawn via:

  • Mobile Money (M-PESA)

  • Bank transfer

  • Other available payout methods

8.2 Platform Fees

SokoNest charges service fees, including:

  • Commission on earnings

  • Withdrawal fees

  • Processing fees (if applicable)

Fees are displayed during transactions and may change with notice.

8.3 Refunds

All sales are final unless required by law.
Refunds may only be issued in cases of:

  • Fraud

  • Unauthorized transactions

  • Technical errors

8.4 Taxes

Creators are responsible for complying with local tax laws, including:

  • Income tax

  • Digital service tax (if applicable)

  • VAT on digital products

SokoNest does not provide tax advice.

 

9. Wallet & Payouts

Users agree that:

  • Wallet balances represent stored value for use on the Platform

  • Withdrawals may be subject to limits or verification

  • Fraudulent or suspicious activity may delay payouts

  • Chargebacks may result in reversal of earnings

We may freeze funds if misuse is detected.

 

10. Privacy & Data Protection

Your privacy is governed by our Privacy Policy.
By using JengaMsanii, you consent to data collection and processing as outlined.

 

11. Termination

We may suspend or terminate accounts without notice if:

  • These Terms are violated

  • Fraud or illegal activity is detected

  • Required by law or regulators

  • Payment issues occur

Users may delete their accounts anytime, subject to verification.

Upon termination:

  • Access to content is revoked

  • Pending earnings may be withheld if violations occurred

 

12. Intellectual Property

All trademarks, logos, and branding of JengaMsanii are the property of SokoNest Trading Platform Limited.
Users may not copy, modify, or distribute our content without permission.

 

13. Limitation of Liability

SokoNest is not responsible for:

  • Loss of earnings

  • Content errors or downtime

  • User disputes or fraudulent behavior by users

  • Third-party payment provider issues

  • Platform interruptions, bugs, or technical failures

To the maximum extent allowed by law, we disclaim all warranties (express or implied).

 

14. Indemnification

You agree to indemnify and hold harmless SokoNest Trading Platform Limited from any claims, damages, losses, or expenses arising from:

  • Your content

  • Your misuse of the Platform

  • Your violation of these Terms

 

15. Governing Law

These Terms are governed by the laws of Kenya.
Any disputes shall be resolved in Kenyan courts.

 

16. Changes to the Terms

We may update these Terms at any time.
Changes take effect upon posting.
Continued use of the Platform indicates acceptance.
